Background:
In an increasingly complicated global business environment, the corporate needs to answer the question how to abide by ethic norm and implement compliance management within the corporate. In more than 30 years, China’s economy has made great progress, with social productivity improving and commercial economy prospering. However, corporate ethics has become one of the aspects that are mostly neglected in the business sphere, which affects the social economic activities and hinders the healthy development of the corporate.

Therefore, the corporate needs to establish compliance system and handling procedure according to the local laws and international anti-bribery and fair marketing principle, so as to effectively prevent the employees from accepting unlawful benefits, outside organizations from asking for bribery and other illegal activities. Advocating the corporate ethics and building compliance system facilitate the smooth operation and sustainable development of the corporate and satisfy the expectations of the stakeholders.

Training Objective:
Help corporate to understand the contents of the compliance policy, in order to build up corporate’s integrity system (the system establishment, systematic training, independent compliance team, etc.); make recommendations on integrity problem’s solving and exchange the ideas on compliance.

1. Brief introduction for anti-bribery laws and regulations:

  • Foreign laws: UK Bribery act, FCPA.
  • PRC laws: Criminal Law, Anti-unfair Competition Law , Opinions on Issues concerning the Application of Law in the Handling of Criminal Cases of Commercial Briberies, the Provisions of the Supreme People’s Procuratorate and the Ministry of Public Security about the filing prosecution rules on the criminal cases within the jurisdiction of the police (II).

2. Share experience of mature Compliance Control System:

  • Compliance Code / Code of Ethic Policy
  • Anti-bribery policy
  • Other policy: Procurement Procedure and etc.

3. Discussion & suggestions on building up corporate compliance system

  • Formulate specific policies/ processes/ corresponding countermeasures;
  • Compliance training for the internal staff and external suppliers, and clarify the legal responsibility/liability of each party;
  • Based on the specific situation, decide whether establish dedicated personnel/ department to take up daily supervision on compliance, and conduct Investigation for violations on compliance;
  • For issues related to external organization/personnel solicit for bribery from corporate or offer bribery to corporate staff;
  • Risk control processes which may be prone to cause bribery inside the corporate.
